We are very pleased to announce today the corporate merger of Brown Engineering Company of San Antonio with Jones & Carter, Inc.

This merger accomplishes one of our Strategic Goals to expand our operation into the San Antonio marketplace. Our combined company will operate under the name of Brown Engineering Company, a Jones & Carter Company, and also under the standard Jones & Carter, Inc. name.

Brothers Mark and Jeff Brown, the former owners of Brown Engineering Company (BECO), are both now shareholders and Vice Presidents of Jones & Carter, Inc.

We have a long history with BECO and specifically with Mark and Jeff - they both worked for us years ago in our lone Houston office in the 1980s when they first graduated from college. Brown Engineering Company was founded by their father, Mr. Jack S. Brown, P.E., RPLS, in 1959 to provide civil engineering design and field surveying services for site work and municipal and land development projects within San Antonio and the surrounding area.

Mark S. Brown, P.E., is a graduate of Texas A&M University, Class of 1979. He worked for us from 1979 until he joined his father at BECO in 1983. Mark served as Vice President of BECO.

Jeff J. Brown, P.E., is also a graduate of Texas A&M University, Class of 1981. He worked for us from 1981 until he joined his brother and father at BECO in 1983. Jeff served as President of BECO.

BECO's 31-person staff provides great experience and expertise as we expand our Jones & Carter footprint into the dynamic San Antonio area. This merger completes all of the expansion activities in our Jones & Carter near-term planning horizon. We will now focus on increasing our market share and business impact in our established geographic locations.
